This is a legally binding agreement between you (“User”) and MagneWorld Toys regarding your use of the Site. “You” refers to the entity bound by these Terms of Use (“Terms”), whether that is an individual who must be at least 18 years old or a corporate entity.

These Terms may be translated into other languages, but in the event of any discrepancies, the English version will prevail.

I. Definitions

"MagneWorld Toys" refers to MagneWorld LLC

"Digital Product" means any collection of digital files, images, or media available for purchase on the Site. This includes, but is not limited to, 3D models, texture maps, motion captures, photographs, training materials, stock music, and videos. Digital Products may be offered in multiple file formats for use in different software applications.

"Site" refers to the MagneWorld Toys website, APIs, applications, software, or other approved platforms, including all associated intellectual property, content, and user interface elements.

For clarity, the following terms are used throughout this agreement:

"Include," "including," and "such as" mean "but not limited to."

"The following restrictions" and similar phrases imply "in addition to all other restrictions in this agreement."

II. General Use

License to Use the Site

a. Ownership. Except as expressly licensed to you, MagneWorld Toys retains all rights, title, and ownership over the Site and its Digital Products.

b. Unauthorized Use. If you engage in unauthorized use of the Site or Digital Products, MagneWorld Toys may terminate your access and seek damages. The following uses are explicitly prohibited:

i. Using inline links, frames, or other methods to alter or redistribute the Site’s content for commercial purposes.

ii. Removing or obscuring copyright, trademarks, or other proprietary notices.

iii. Mining, scraping, or extracting data through manual or automated means.

iv. Reverse engineering, decompiling, or creating derivative works.

v. Interfering with the functionality of the Site or users' experiences.

vi. Circumventing security measures or testing for vulnerabilities.

vii. Using the Site for recruitment purposes or to contact MagneWorld Toys' creators without permission.

viii. Sharing private or semi-private communications without consent.

III. Warranties

You represent and warrant that:

You have the legal authority to enter into this agreement and have obtained any necessary third-party consents.

You will use the Site in accordance with these Terms.

IV. Limitation of Liability

The Site is provided "as is" and "as available." MagneWorld Toys makes no warranties regarding accuracy, reliability, or fitness for a particular purpose.

You assume all risks associated with using the Site, including potential damages to your system.

To the fullest extent permitted by law, MagneWorld Toys shall not be liable for any direct, indirect, incidental, special, or consequential damages, including lost revenue, data, or business opportunities. Some jurisdictions may not allow these exclusions, so they apply to the maximum extent permitted by law.

You agree to indemnify and hold MagneWorld Toys harmless from any claims, damages, or expenses arising from your use of the Site or submitted content.

V. Termination and General Terms

Entire Agreement. These Terms constitute the full agreement between you and MagneWorld Toys, unless additional written agreements are made.

Termination for Breach. If you violate these Terms, MagneWorld Toys may revoke your access to the Site. You acknowledge that a material breach may cause irreparable harm, entitling MagneWorld Toys to injunctive relief without requiring a bond.

Compliance with Regulations. You agree to comply with all applicable export/import laws. This includes obtaining necessary authorizations and not engaging in prohibited activities.

Governing Law. This agreement is governed by the laws of Arizona. Any disputes shall be resolved in state or federal courts in Phoenix, Arizona.

Arbitration. MagneWorld Toys may arbitrate disputes between users. Any arbitration findings shall be final and binding. Users waive rights to a jury trial and judicial resolution for disputes covered by arbitration.

Notices. Communications under this agreement must be in writing and sent via email to info@magneworldtoys.com. Acknowledgment of receipt within five business days is required.

Assignment. MagneWorld Toys may assign its rights under this agreement in cases of mergers, acquisitions, or sales of company assets. You may not assign your rights without prior written consent.

English Language. While translations may be available, the English version of these Terms governs in case of any discrepancies.

These Terms of Use are effective as of January 12, 2025.
